White Gold Corp. (TSX-V: WGO | OTC: WHGOF) has announced a significant development that creates additional value for existing shareholders: the Company has filed the Management Information Circular for the proposed spin-out of its critical minerals portfolio into a new, separately listed public company — W2 Critical Minerals Corp. (“Spinco”).
The shareholder vote is scheduled for August 11, 2026. If approved, White Gold shareholders will receive one Spinco share for every five WGO shares they hold — at no additional cost. Their existing White Gold position remains unchanged.
What Is Being Spun Out
The Spin-Out will transfer White Gold’s portfolio of copper, molybdenum, tungsten, and other critical mineral properties in west-central Yukon into W2 Critical Minerals. The portfolio includes six properties — Bridget, Loonie, Wolf, Hunker, Hayes, and Toonie — prospective for copper (Cu), molybdenum (Mo), tungsten (W), antimony (Sb), zinc (Zn), and bismuth (Bi).
The flagship asset within the spin-out is the Bridget Property — a 15,500-hectare, 750-claim copper-molybdenum target located approximately 25 km northeast of the Casino porphyry deposit, one of the world’s largest copper-gold systems. Historical drilling and geophysical surveys have delineated a 4.3 km by 1.4 km molybdenum soil anomaly and a 2.0 km by 0.75 km copper anomaly, with priority IP targets identified at depths of 130 to 330 metres — never yet tested by diamond drilling. The Bridget Property has the hallmarks of a large-scale porphyry system in a district that has already produced world-class deposits.
I had a chance to sit down with Dylan Langile, White Gold’s Vice President of Exploration to discuss the spin off as well as White Gold’s ongoing drill efforts. You can see the interview below.
The Resource Vault Perspective
This is the kind of corporate action that rewards patient shareholders. White Gold has been quietly building one of the most comprehensive land packages in the Yukon… and the Spin-Out is the Company beginning to unlock the full value of what it has assembled. Shareholders who hold their WGO shares through to the effective date of the Spin-Out will receive their W2 Critical Minerals shares automatically, with no action required beyond voting in favour of the arrangement on August 11.
With three drills currently turning on White Gold’s largest-ever diamond drill program, a PEA on the way, the Talamore road being built through the district, and now a critical minerals spin-out creating a second publicly traded vehicle from the same land package — the catalysts for White Gold in 2026 are stacking up.
